Terms of Service
These Terms of Service (the “Terms”) constitute a legally binding agreement between you and Mechmate regarding your access to and use of the Services. Please read them carefully before using the platform.
By accessing or using Mechmate’s Services in any manner, you agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to use our Services.
1. Definitions
“Mechmate”, “we”, “our”, “us” refers to the Mechmate SaaS platform, operated from Quebec, Canada.
“You”, “your”, “Client” refers to the natural or legal person who registers for and uses the Services.
“Services” refers to the Mechmate software platform, including the web application, desktop application, APIs, appointment booking widget, and all related services that we provide.
“Account” refers to the unique account created by a Client to access the Services.
“Plan” refers to one of the subscription plans offered by Mechmate (Discovery, Essential, Professional, Enterprise).
“Client Data” refers to all data and information that you enter, upload, or store in the Services (customers, vehicles, work orders, invoices, etc.).
“Authorized User” refers to members of your team whom you authorize to access your Account.
“AI Credits” refers to the daily units allocated for using Mechmate’s artificial intelligence features.
“Content” refers to any text, graphics, images, music, software, audio, video, information, or other material.
2. Acceptance of Terms
2.1 Legally Binding Agreement
By creating an Account or using the Services, you confirm that:
- You have read, understood, and accepted these Terms
- You have the legal authority to enter into this agreement
- If you represent a business, you have the authority to bind that business
- You are at least 18 years of age or the age of majority in your jurisdiction
2.2 Relationship with the Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
2.3 Amendments
We reserve the right to modify these Terms at any time. Material changes will be notified to you by email or through the Services at least 30 days before they take effect. Your continued use after the effective date constitutes your acceptance of the new Terms.
3. Description of Services
3.1 Management Platform for Service and Repair Businesses
Mechmate is a SaaS (Software as a Service) software platform designed to help service, repair, and maintenance businesses manage their daily operations.
Supported business types (non-exhaustive examples):
- Motorized equipment repair (vehicles, small engines, machinery, agricultural equipment, marine, recreational, heavy equipment)
- Electronics and appliance repair
- Maintenance and upkeep services
- Any other service business requiring customer, equipment, work order, and invoicing management
Key features:
- Customer management: Customer database with complete history
- Equipment management: Tracking of equipment and assets of all kinds, serial/identification numbers, usage metrics, maintenance history
- Work orders: Creation, tracking, and management of work orders
- Invoicing: Invoice generation, estimates, payment management
- Appointment booking: Embeddable widget for online appointment booking
- Inventory management: Parts and product tracking (depending on plan)
- Time management: Time and task tracking (depending on plan)
- Reports and analytics: Dashboards and analyses (depending on plan)
- AI features: Artificial intelligence assistance
- API: Programmatic access to the Services
3.2 Evolution of Services
We reserve the right to modify, suspend, or discontinue all or part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
3.3 Beta and Experimental Features
Certain features may be offered in beta or experimental form. These features are provided “as-is” without warranty and may be modified or removed at any time.
4. Registration and Accounts
4.1 Account Creation
To use the Services, you must create an Account by providing:
- Your business name
- Your full name
- A valid email address
- Phone number
- Your business address
- A secure password
4.2 Accuracy of Information
You agree to:
- Provide accurate, complete, and up-to-date information
- Maintain and promptly update your information
- Notify us of any significant changes (change of ownership, address, etc.)
4.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities conducted through your Account
- Immediately notifying Mechmate of any unauthorized use
We will NEVER ask for your password by email, phone, or chat.
4.4 One Account per Business
Each Account is intended for a single business or entity. You may not share your Account with other businesses or resell it.
4.5 Authorized Users
You may add Authorized Users (members of your team) up to the limits of your Plan. You are responsible for:
- All actions of your Authorized Users
- Managing their access and permissions
- Immediately revoking access for employees who leave your business
5. Plans, Pricing, and Payment
5.1 Available Plans
Mechmate offers the following subscription plans:
Discovery Plan (Free)
- Price: $0 CAD / month
- Work orders: 30 maximum
- Customers: 100 maximum
- Monthly bookings: 50
- Team members: 1
- API calls: 100 / month
- AI Credits: 5 / day
Essential Plan ($29 CAD / month)
- Price: $29 CAD / month
- Work orders: Unlimited
- Customers: 500 maximum
- Monthly bookings: 200
- Team members: 3
- API calls: 1,000 / month
- AI Credits: 10 / day
- Additional features: Workflows, advanced invoicing, time management
Professional Plan ($79 CAD / month)
- Price: $79 CAD / month
- Work orders: Unlimited
- Customers: 2,000 maximum
- Monthly bookings: 1,000
- Team members: 10
- API calls: 10,000 / month
- AI Credits: 25 / day
- Additional features: Inventory management, vehicle inspections, analytics, automated reminders
Enterprise Plan (Custom Pricing)
- Price: Custom (contact us)
- Work orders: Unlimited
- Customers: Unlimited
- Monthly bookings: Unlimited
- Team members: Unlimited
- API calls: Unlimited
- AI Credits: 50 / day
- Additional features: White label, custom domain, multi-location, priority support, dedicated account manager
5.2 Billing and Payment
Billing cycle:
- Paid plans are billed monthly in advance
- The first payment is due upon subscription
- Subsequent payments are automatically charged on the same day each month
Accepted payment methods:
- Credit cards (Visa, Mastercard, American Express)
- Debit cards
- Secure processing via Stripe
Automatic renewal:
Your subscription automatically renews each month until cancelled. You authorize Mechmate to charge your payment method on file.
5.3 Taxes
All prices are in Canadian dollars (CAD) and do not include applicable taxes (GST, QST, HST depending on your province). Taxes will be added to your invoice based on your location.
5.4 Plan Changes
Upgrade:
- Takes effect immediately
- You are billed on a pro-rata basis for the remainder of the current month
- New limits apply instantly
Downgrade:
- Takes effect at the beginning of the next billing cycle
- Your data is not deleted, but features exceeding the new plan may become inaccessible
- If you exceed the limits of the new plan, you will need to delete or archive data

5.5 Payment Failure
If a payment fails:
- Day 1: Automatic re-billing attempt
- Day 3: Email notification with a link to update your payment method
- Day 7: Second payment attempt
- Day 14: Your Account is placed in “Read-only” mode (view only)
- Day 30: Full Account suspension
To restore your Account: Update your payment method and pay the amounts due.
5.6 Refund Policy
Free plan (Discovery): No refund applicable (free service)
Paid plans:
- Trial period: If you cancel within the first 14 days, you receive a full refund
- After 14 days: No refund for the current month (non-refundable pro-rated service)
- Exception: Refunds on a case-by-case basis for serious technical issues on our part

5.7 Price Increases
We reserve the right to adjust our prices. You will be notified by email at least 30 days before any increase. If you do not accept the new price, you may cancel your subscription before the effective date.
6. Usage Limits and Quotas
6.1 Limits by Plan
Your use of the Services is subject to the limits of your current Plan:

6.2 Exceeding Limits
Consequences:
- Customers, work orders, bookings: You will not be able to create new ones until you:
- Delete/archive existing items, OR
- Upgrade to a higher plan
- Team members: You will not be able to add new users
- API calls: Your API calls will be blocked until the next billing cycle or upgrade
- AI Credits: AI features will be unavailable until the next day (daily reset at midnight EST)
No overage charges: Mechmate does not charge additional fees for exceeding limits. Features are simply disabled until an upgrade or reset occurs.
6.3 AI Credits
How it works:
- AI Credits reset each day at 12:00 AM Eastern Time (EST/EDT)
- Unused credits do not carry over and expire at midnight
- Each AI action consumes 1 credit (text generation, suggestions, analyses)
Fair use:
Even for “unlimited” plans, we reserve the right to limit excessive or abusive use that could affect performance for other users.
6.4 API Calls
How it works:
- Monthly limit based on your plan
- Resets on the first day of each month
- Authentication via API key (available in Settings > API)
Rate limiting:
- Maximum 100 requests per minute (all plans)
- If exceeded, you will receive an HTTP 429 (Too Many Requests) error
Monitoring:
View your API usage in real time under Settings > API > Usage
7. Data Ownership and License
7.1 Your Data Belongs to You
You retain all ownership rights over your Client Data. This includes:
- Your customers’ information (names, contact details, vehicles)
- Work orders and service histories
- Invoices and payment data
- Photos, documents, and uploaded files
- Any other content you create within the Services
7.2 License You Grant Us
By uploading or entering Client Data into the Services, you grant us a worldwide, non-exclusive, royalty-free license to:
- Host and store your data on our servers
- Process your data to provide the Services
- Back up your data to ensure its protection
- Display your data to the Authorized Users you designate
- Transmit your data through our APIs if you use integrations
This license terminates when you delete your Client Data or terminate your Account.
7.3 Responsibility for Your Data
You are solely responsible for:
- The accuracy and legality of your Client Data
- Obtaining all necessary consents to collect and process your customers’ data
- Complying with applicable laws (PIPEDA, Law 25, GDPR, etc.) in your use of the Services
Important note: With respect to the data of YOUR customers (your business’s customers), YOU are the data controller and Mechmate is the data processor. You must have your own privacy policy and obtain appropriate consents from your customers.
7.4 Aggregated and Anonymized Data
We may create aggregated and anonymized statistical data from your use of the Services (for example, “the average time to complete a work order is X hours”). This anonymized data does not personally identify you, and we may use it to improve our Services, conduct research, and publish statistics.
7.5 Data Backup and Export
Your responsibilities:
- Mechmate performs regular backups to ensure service continuity
- HOWEVER, you are responsible for maintaining your own backups of your Client Data
- We recommend regularly exporting your data
Data export:
- Available at any time via Settings > Data Export
- Available formats: CSV, JSON, PDF (depending on data type)
- No charge for data export
8. Acceptable Use Policy
8.1 Prohibited Uses
You agree NOT to use the Services for:
Illegal activities:
- Violating local, provincial, federal, or international laws
- Infringing third-party intellectual property rights
- Committing fraud, swindling, or deceiving others
- Money laundering or financing illegal activities
Harmful activities:
- Distributing viruses, malware, ransomware, or other malicious code
- Attempting to hack, compromise, or circumvent security measures
- Conducting denial-of-service attacks (DDoS)
- Scanning or testing vulnerabilities of our systems without prior written authorization
Inappropriate content:
- Uploading pornographic, violent, defamatory, or hateful content
- Harassing, threatening, or intimidating other users
- Impersonating another person or entity
Spam and abuse:
- Sending unsolicited communications (spam) through our Services
- Using the Services to conduct phishing campaigns
- Creating fake or multiple accounts to circumvent limits
- “Scraping” or mass-extracting data without authorization
Excessive use:
- Using the Services in a manner that could overload, disable, or harm our servers
- Consuming resources disproportionate to your Plan
8.2 Consequences of Violation
If you violate this Acceptable Use Policy, we may:
- Warn you and demand immediate cessation
- Temporarily suspend your Account
- Permanently terminate your Account without notice or refund
- Report the activity to the relevant authorities if necessary
- Take legal action to recover damages
8.3 Reporting Abuse

9. Service Level and Availability
9.1 Availability Target
We strive to maintain the Services available 99% of the time on a monthly basis, but we do not guarantee uninterrupted availability.
Exclusions (downtime not counted):
- Scheduled maintenance (notified at least 24 hours in advance)
- Force majeure events (natural disasters, wars, pandemics, etc.)
- Issues with third-party services (Stripe, hosting, etc.)
- Issues caused by your actions or those of your Authorized Users
- Issues with your Internet connection or equipment
9.2 Scheduled Maintenance
Notification:
- We will notify you by email and/or in-app notification at least 24 hours before any scheduled maintenance
- Maintenance is generally performed during off-peak hours (nights, weekends)
Duration:
- We strive to limit maintenance to a maximum of 4 hours
- The Services may be partially or fully unavailable during this period
9.3 Technical Support
All plans include:
- Free 24/7 email support ([email protected])
- Knowledge base and online documentation
- Free training for new users
Target response times:
- Urgent (complete outage): 4 hours
- Important: 1 business day
- Normal: 2 business days
- Low priority: 5 business days
Enterprise Plan:
- Priority support with reduced response times
- Dedicated account manager
- Phone support available
Support languages:
- French (priority)
- English
9.4 No Performance Guarantee
Important disclaimer: The Services are provided “as-is”. We do not guarantee:
- That the Services will be uninterrupted, secure, or error-free
- That the results obtained through the use of the Services will be accurate or reliable
- That all defects will be corrected
10. Third-Party Services
10.1 Integrations and Third-Party Services
Mechmate integrates with and uses third-party services to provide certain features:
Payment processing:
- Stripe: Secure credit card payment processing
- Terms: https://stripe.com/legal
- We NEVER store full credit card numbers
Communications:
- Brevo (Sendinblue): Transactional email and SMS delivery
- Privacy Policy: https://www.brevo.com/legal/privacypolicy/
Analytics and monitoring:
- PostHog: Anonymized usage analytics
- Sentry: Error tracking and performance monitoring
Hosting:
- OVH Canada: Primary data hosting in Beauharnois, Quebec
- Certifications: ISO 27001, Tier III+
10.2 Your Responsibility
Your use of third-party services through Mechmate may be subject to the terms of service and privacy policies of those third parties. You are responsible for reading and accepting those terms.
10.3 No Warranty for Third-Party Services
We are not responsible for:
- The availability, performance, or security of third-party services
- Modifications, suspensions, or interruptions of third-party services
- Actions or omissions of third-party providers
- Data losses caused by third-party services
If a third-party service becomes unavailable, we will make reasonable efforts to find an alternative or provide a workaround.
11. Intellectual Property
11.1 Mechmate’s Ownership
Mechmate and its Services (including the software, source code, designs, logos, trademarks, and content) are and remain the exclusive property of Mechmate and its licensors.
Reserved rights:
- All copyrights
- All trademarks and service marks
- All patents and trade secrets
- All other intellectual property rights
11.2 Limited License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Services in accordance with these Terms
- Use the appointment booking widget on your website
Restrictions:
You may NOT:
- Copy, modify, distribute, or create derivative works of the Services
- Reverse engineer, decompile, or disassemble the software
- Remove, alter, or obscure intellectual property notices
- Rent, lend, sell, or sublicense the Services to third parties
- Use the Services to develop a competing product
11.3 White Label - Enterprise Plan Only
The Enterprise Plan includes white-label features allowing you to customize the appearance of the Services with your logo and colors. Even with these customizations:
- Mechmate retains all rights to the underlying software
- You may not completely remove all references to Mechmate
- The license remains non-transferable and limited to your internal use
11.4 Feedback and Suggestions
If you provide us with ideas, suggestions, comments, or recommendations regarding the Services (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback without any obligation of compensation.
12. Privacy
Your privacy is important to us. Our Privacy Policy explains:
- What personal data we collect
- How we use that data
- How we protect your information
- Your rights regarding your personal data
By using the Services, you consent to the collection and use of your information in accordance with our Privacy Policy.
13. Termination
13.1 Termination by You
Cancel at any time:
You may cancel your subscription at any time, without penalty:
- Via Settings > Subscription > Cancel Subscription
- By contacting [email protected]
Effect of cancellation:
- Takes effect at the end of your current billing period
- You retain access until the end of the paid period
- No refund for the remaining time of the current month (except for the 14-day trial period)
- Your Account is placed in “Read-only” mode for 90 days
13.2 Grace Period - 90 Days
After termination, your data remains accessible in read-only mode for 90 days:
- You can view your data
- You can export your data
- You CANNOT create or modify data
- You can reactivate your subscription at any time during this period
After 90 days:
- All your Client Data is permanently deleted
- This deletion is irreversible
- Certain data may be retained for legal obligations (invoices: 7 years)
13.3 Termination by Mechmate
We may suspend or terminate your Account immediately, without notice or refund, if:
Breach of Terms:
- You violate these Terms of Service
- You violate the Acceptable Use Policy
- You provide false information during registration
- You use the Services fraudulently
Payment failure:
- Your payment fails and you do not rectify the situation within 30 days
Prolonged inactivity (Free plan only):
- No login for 12 consecutive months
- We will notify you by email 30 days before deletion
Legal reasons:
- Court order or request from authorities
- To comply with the law
13.4 Data Export Before Termination
IMPORTANT: We strongly recommend that you export all your data BEFORE terminating your Account.
How to export:
- Log in to your Account
- Go to Settings > Data Export
- Select the data to export (customers, vehicles, work orders, invoices, etc.)
- Choose the format (CSV, JSON, PDF)
- Download your files
No charge is applied for data export.
13.5 Effect of Termination
After the final termination of your Account:
- You lose access to the Services
- All your Client Data is deleted (except for legal obligations)
- Authorized Users lose their access
- Your API keys are revoked
- The appointment booking widget ceases to function

14. Limitation of Liability
14.1 Services Provided “As-Is”
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS-IS” AND “AS-AVAILABLE”, WITHOUT WARRANTY OF ANY KIND.
We disclaim all warranties, express or implied, including but not limited to:
- Warranty of merchantability
- Warranty of fitness for a particular purpose
- Warranty of non-infringement
- Warranty of accuracy, reliability, or availability
- Warranty that the Services will be uninterrupted or error-free
14.2 Limitation of Financial Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MECHMATE SHALL IN NO EVENT BE LIABLE FOR:
Indirect damages:
- Loss of profits, revenue, or anticipated savings
- Loss of data or information
- Loss of customers or business opportunities
- Business interruption
- Indirect, incidental, consequential, special, or punitive damages
Even if we have been advised of the possibility of such damages.
14.3 Liability Cap
OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL IN NO EVENT EXCEED:
The greater of:
- The amounts you have paid to Mechmate during the 12 months preceding the event giving rise to the liability, OR
- $100 CAD
Example: If you are on the Essential Plan ($29/month) and an issue arises after 6 months, our maximum liability would be $174 CAD ($29 x 6 months).
14.4 Exceptions
Certain jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.
These limitations do NOT apply in the case of:
- Fraud or fraudulent misrepresentation on our part
- Death or personal injury caused by our negligence
- Any liability that cannot be legally limited or excluded
14.5 Liability for Third-Party Services
We are not responsible for the actions, omissions, errors, or issues caused by third-party services (Stripe, Brevo, OVH, etc.). Your recourse in the event of an issue with a third-party service must be directed to that third-party provider.
15. Indemnification
15.1 Your Indemnification Obligation
You agree to defend, indemnify, and hold harmless Mechmate, its officers, directors, employees, agents, and partners from and against all claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including, without limitation, attorneys’ fees) arising from or related to:
- Your use of the Services in violation of these Terms
- Your Client Data (including any claims of copyright infringement, defamation, privacy violations, etc.)
- Violation of third-party rights (intellectual property, confidentiality, privacy, etc.)
- Violation of applicable laws (PIPEDA, Law 25, GDPR, tax laws, etc.)
- Actions of your Authorized Users (you are responsible for their actions)
- Use of the appointment booking widget on your website
15.2 Procedure
In the event of a claim:
- We will promptly notify you in writing
- You will have control of the defense and settlement (with our consent for settlements that affect us)
- We will reasonably cooperate with you, at your expense
- We may participate in the defense with our own attorneys, at our expense
16. Modifications to the Terms
16.1 Right to Modify
We reserve the right to modify these Terms at any time. Modifications may be necessary to:
- Reflect changes in our Services
- Comply with new laws or regulations
- Improve security or user protection
- Correct errors or ambiguities
16.2 Notification of Changes
For material modifications:
- Email notification at least 30 days before the effective date
- Notification via a banner in the application
- Publication of the new version at mechmate.io/terms
For minor modifications:
- Update of the “Last updated” date at the top of the document
- Notification via the application or by email
16.3 Acceptance of New Terms
Your continued use of the Services after the new Terms take effect constitutes your acceptance of those changes.
If you do not accept the new Terms:
- You must cease using the Services
- You may terminate your Account before the effective date
- You will receive a pro-rata refund for the remaining time of the current month
16.4 Version History
Previous versions of these Terms are archived and available upon request at [email protected].
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflict of law principles.
You also agree to comply with all applicable local, provincial, and federal laws regarding your use of the Services.
17.2 Jurisdiction
For users in Quebec:
Any dispute arising out of or related to these Terms or the Services shall be submitted to the exclusive jurisdiction of the courts of the Province of Quebec, judicial district of [Your district - e.g., Montreal].
For users elsewhere in Canada: The competent courts of your province shall have jurisdiction, but Quebec law shall apply.
For international users: You submit to the exclusive jurisdiction of the courts of Quebec, Canada.
17.3 Waiver of Class Action
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ALL DISPUTES WITH MECHMATE SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS ACTION, GROUP ACTION, OR REPRESENTATIVE PROCEEDING.
17.4 Amicable Dispute Resolution
Before initiating legal proceedings, we encourage you to contact us at [email protected] to attempt to resolve the dispute amicably. We commit to:
- Acknowledging receipt within 2 business days
- Discussing in good faith to find a solution
- Providing a substantive response within 15 days
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mechmate regarding the Services and supersede all prior agreements, representations, warranties, and understandings, whether oral or written.
18.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18.3 Waiver
The failure of Mechmate to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by an authorized representative of Mechmate.
18.4 Assignment
You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent.
We may assign or transfer these Terms at any time, including in the event of:
- Merger or acquisition
- Sale of assets
- Corporate restructuring
You will be notified of any assignment within a reasonable time.
18.5 No Partnership
Nothing in these Terms creates, nor is intended to create, a partnership, joint venture, employer-employee relationship, or principal-agent relationship between you and Mechmate.
18.6 Force Majeure
Mechmate shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, fires)
- Wars, acts of terrorism, riots
- Strikes, lockouts, or labor disputes
- Power outages, Internet or telecommunications failures
- Government actions, laws, or regulations
- Cyberattacks (DDoS, ransomware, etc.)
- Pandemics or public health emergencies
18.7 Notices
Notices from Mechmate to you: We may send you notices by:
